The Advert Platform/My Advertising Pays/VX Gateway



VX Gateway have issued an update on the legal case between itself and My Advertising Pays.
They say that it's GPN Data that are holding all the money owed by them to MAP.
And that when GPN return that money, MAPS members can be paid.


Unanswered Questions:
Why aren't VX Gateway taking GPN data to court?
And if GPN Data have been accused of 'stealing' all of MAPS money, then why is Mike using them to process payments for TAP?
And remember the Leaders meeting in January 2016, where Mike said on camera that most of the money has been moved out of VX Gateway?

 Where did he move it to?
And if VX Gateway have gone into voluntary Liquidation, and only MAPS is taking them to court, what about all of VX Gateways OTHER clients?


The facts appear to be, that VX has NO other clients.
Which means that VX is there solely to service My Advertising Pays.

 Which by definition is a 'partnership'.

DISPUTE WITH (“MAP”)


VX Gateway Inc. in dissolution (hereinafter referred to as “VX Gateway” or “company”) is required by applicable law to gather and collect funds due to it and to defend and protect the company’s assets for the benefit of creditors. The dissolution proceedings were filed by the company on 23 September 2016, as a direct result of unusual transactional behavior by (“MAP”) which caused all of the processors to withhold payments to VX. The filing of the dissolution was voluntary and pre-dates all other known claims or actions. A lawsuit, which the trustees believe to be a false claim and totally without merit has been filed by MAP against the company in the US District Court in Houston, Texas. MAP was seeking a temporary restraining order against the company, which was denied by the US District Court, and a hearing is set in March for the purpose of determining whether the Court has jurisdiction over the matter.


VX Gateway’s legal position is that under its contract with MAP, jurisdiction and venue is Panama and both parties agreed to resolve any dispute in Panama using International Arbitration. Litigating a lawsuit in the United States would, in the opinion of the trustees and the attorneys here in Panama, likely unnecessarily dissipate a substantial amount of money otherwise due claimants in the dissolution. Those claimants include VX Gateway customers, vendors, landlords, utilities, as well as MAP if in fact it is owed any money at all, and others.


There are numerous blogs online that have been reporting misinformation about the litigation and the claim. While many of the postings are MAP members understandably concerned about monies they have not received, it seems likely that much of the misinformation may actually be professional and amateur publicists speaking for the benefit of MAP and its baseless lawsuit.


The purpose of this posting is to address some of the statements and do so in an objective manner if possible.


First, MAP and VX Gateway are two separate and unrelated companies. There is no common ownership. The lawsuit in Houston is specious; it has no basis in fact. The amount claimed as “missing” is made up and not supported by the books and records.


Second, a forensic audit will disclose what if any monies are owed, and by whom. VX Gateway welcomes such audit. All credit card transactions are preserved in the records of Visa and MasterCard; nothing can be hidden in an audit.


Third, many of the blogs describe MAP as a “Ponzi scheme”. VX Gateway investigated the business carefully before accepting its processing and MAP did not, as then doing business, appear to be a Ponzi. Moreover, VX Gateway required, received, and relied upon a formal Legal Opinion Letter from MAP’s attorney, Jonathan Herpy, of the law firm of Hart & David, LLP attesting to the legality of the MAP’s business.


The business concept of MAP appears to be an “advertising arbitrage”, a way of exposing an advertiser’s media to more viewers. Many see it as an extremely creative concept that apparently worked well for a while at least with regard to attracting a large following.


Following the publicity attendant to the lawsuit we have heard from several observers that whether or not the business scheme truly benefits the advertisers seems questionable because the additional exposure sought by advertisers are in reality “hollow clicks”, that is people looking at the ads because they are paid to do so, not because they have actual interest in the product or service. One would think that over time fewer and fewer advertisers would utilize such a service. We have quite recently been told that there is also the issue of whether the MAP members have a viable long term device for creating income after expenses or if the payout scheme of MAP is weighted in such a manner that the business must eventually fail. Those concerns, however, are matters between MAP and its members.


As a payment gateway VX Gateway provided a service of presenting credit card charges to one or more processors (different processors are often needed to handle transactions in different currencies or countries), after which each payment must be settled and when approved money credited/paid by the processor to the payment gateway. Those funds do not belong to the payment gateway except for its processing fees. After receipt of such funds from the processor the net amounts due are remitted or credited to the merchant, here MAP. The sheer volume of transactions requires software that virtually automates the entire payment process from start to finish. Every payee’s account is paid/credited automatically.


Critical to understanding the process, by contract and industry practice, the payment gateway, VX Gateway, has no debt and owes nothing to the merchant until it receives the payment from the processor, here GPN Data (hereinafter referred to as “GPN”). GPN has withheld payments due VX Gateway. As part of the dissolution process VX Gateway is, as stated above, pursuing an audit. When and if GPN eventually pays its lawful obligations such funds should be received in the dissolution. At such time, and only at such time, money payable to any party will be credited to the account of and become payable to any party due money from the respective transactions. In other words, at such time money owed to MAP, if any, will be paid.


We find it interesting that GPN, the party that owes the money but has thus far refused to pay, is now doing business directly with MAP which is claiming the money. If they can work together to take money from MAP’s members, cannot GPN pay VX Gateway the money VX Gateway is owed in order that we may pass through that part that will then be owed to MAP? From whatever amount it is then owed and paid MAP could then pay its members some or all of what it has withheld from them.


Make no mistake, any money that may become payable by VX Gateway to MAP, if any, is a part of the money GPN has withheld from paying to VX Gateway. We reiterate, by contract and industry practice no debt is incurred by VX Gateway until it is paid by the processor, here GPN Data.
It should be noted that Mike Deese signed a personal guarantee to make good any monies owed to VX Gateway when he applied for VX Gateway services.
VX Gateway’s position is that the actual amount in controversy in any legal proceeding in Panama can easily be determined by third party audit. Once done VX Gateway intends to be bound by the audit.
There would appear to be no good faith reason for MAP to oppose such a determination. At the instruction of Jonathan Herpy of Hart & David law firm, a total of USD 8 million, consisting of two (2) payments of USD 4 million each was paid to the law firm’s escrow account. Bearing in mind that VX Gateway itself will owe nothing until it is paid by GPN, one might ask first, as to money previously paid to MAP, where has the money gone?


Only Mike Deese and MAP’s attorney Jonathan Herpy and the Hart & David law firm can provide that answer. Second, as to such monies and monies as yet not received by VX Gateway from GPN, is there some collusion between MAP and GPN? We express no opinion on that issue.


Counsel in Panama has speculated that the lawsuit improperly filed in the US is likely a sham intended instead to draw attention away from MAP and its principals. If that is correct, one must wonder what are they trying to hide? Again, we express no opinion.


Legal counsel has advised that VX Gateway and others may pursue legal action against MAP and GPN and their respective spokesmen individually for slanderous and disparaging statements made by them claiming that monies have been stolen by VX Gateway or related parties. In fact, such actions may follow but the focus of VX Gateway is presently upon collecting monies as yet unpaid by GPN in order that it may be paid to the rightful recipients.


Many people apparently have claims against MAP; not all of those people have claims against VX Gateway. Those that may have a legitimate claim in the VX Gateway dissolution are encouraged to file a proper claim in the dissolution at the earliest possible time in strict accordance with procedure set forth on this website. My Advertising Pays V VX Gateway








On December 1st 2016, My Advertising Pays started Court proceedings against VX Gateway alleging the theft of $60 million.

Timeline According to The Court Documents:

 February 2016 - MAP withdrew from the US market.

 February (15th) 2016 - MAPS say members had difficulty withdrawing from VX Gateway. 

April 5th 2016 - MAP V2 was launched.

April 13th 2016 - Tony Booth told Celia Dunlop that they had no funds to pay MAP monthly expenses.

 May 6th 2016 - VX withdrew $4 million from MAPS VX Loop account.

 May 13th - 2016 VX repaid $600,000 back to MAP. June 8th - My Advertising Pays looks for another payment processor. 

August 4th - Mike tells Celia that she is improperly holding USD funds and had not remitted funds totalling e16,500,000 since April 2016. 

August 31st - Tony Booth emailed Celia again to ask where the USD funds were. On 

September 7th 2016, MAP counsel asked VX Gateway why the funds had been withheld. 

September 20th - MAP find a discrepancy in sales between GPN data and VX Gateway totalling almost E57,000,000.

December 1st 2016 - A lawsuit is filed.

My Advertising Pays - The Bolton Anniversary Event Speech




My Advertising Pays was registered in February 2005.

VX Gateway was registered in August 2007

My Advertising Pays Version1 was launched on September 13th 2013.
They withdrew from America and closed Version1 early 2016. 
My Advertising Pays launched Version 2 on April 5th 2016. 
Profit share/withdrawals were suspended in August/September 2016. 
My Advertising Pays launched a lawsuit against VX Gateway on Dec 6th 2016 claiming they stole $60 million.
 My Advertising Pays will soon close down.
 It will be replaced with 'The Advert Platform' on January 4th 2017. 
Mike says that VX Gateway will repay all of affiliates money. 
VX Gateway have put themselves into Voluntary Liquidation and have (apparently) large debts. 
So how VX Gateway will refund the $60 million of 'stolen money' remains to be seen.

Amin Forati - The Latest Newspaper Story


This is the latest Newspaper Article from the Swiss Newspaper Le Matin Dimanche about Amin Forati -Traffic Monsoons ex-CFO. 




The "investor" of S3 has disappeared from circulation

Bankruptcy Stolen abroad, Amin F. provided the guarantee in March to save the company. How was this paper validated?
On the door of his apartment Dubai, located in a luxurious residential complex overlooking a marina, an official document claims to Amin F. a year rent - from October 2015 to October 2016 - failing which he will be expelled. The Iranian who provided this spring a bank guarantee of $ 30 million to the S3 company (Swiss Space Systems), whose bankruptcy was pronounced on December 14, is sought abroad by several persons and entities claiming accounts. But he no longer shows himself.

In addition to a Milan businessman who sues him for fraud (Le Matin Dimanche du 9 octobre), at least one other person, based in Dubai, accuses him of having cheated him of a large sum. According to the lawyers of Luanda and Dubai of the former, criminal proceedings are under way in the Emirates. In both cases, the scenario is the same: from a friendly point of view, Amin F., pretending to be a Maltese ambassador, puts forth well-supplied bank accounts to convince people to entrust him with large sums. His credo, according to these two sources: never invest his own money, but use that of others to generate more.

Pascal Jaussi (founder and CEO of Swiss Space Systems, ed) started talking about Amin F. in the spring of 2015, when we were no longer paid, testifies a former collaborator of S3. He made us listen to recorded phone conversations, where this investor assured us that everything was going to get back to normal. Pascal Jaussi explained that we had to wait, because the money of this gentleman was under embargo because of his Iranian origins. He did everything to confuse us. "

In front of the district court of La Broye and the Waldensian north, on December 6, the two representatives of company S3, without documents to support their statements, obviously failed to convince the judge that the 30 million promised by Amin F. could clean up the holding company, indebted to the tune of more than 6 million francs. According to Pascal Jaussi, who announced that he wanted to appeal the bankruptcy decision, the papers in question could not be shown in court for reasons of confidentiality. The professional pilot was found injured and burned near his car on 26 August 2016 in the woods of Aumont (FR). This event had turned the spotlight on his company, which had the vocation of specializing in the launch of microsatellites and space tourism. The investigation is still ongoing.

Since this spring, the company has increased its liabilities by relying on the bank guarantee provided by Amin F. and established with the obscure Axios Credit Bank of Singapore. A wobbly configuration that should have put the chip at the ears of those responsible for validating this document. The Emirates company D & B of Amin F., whose name appears on the guarantee, would not have the necessary authorization to carry out such operations.

The person responsible for the Vaud trade register, Yann Decnaeck, reminds the members of the board of directors of the responsibility to provide documents containing exact indications. An audit by the Fiduservice Trustee on 30 March also confirmed the accuracy of the S3 capital increase report. Contacted, the fiduciary relies on professional secrecy.

Lots has been written about Amin and his relationship with S3, D&B and Traffic Monsoon.
This is the story so far and what we believe has happened.

In the Spring of 2015, Pascal Jaussi (founder of S3) started mentioning Amin publicly.
In 2015/2016 at least two men were persuaded to hand over hundreds of thousands of dollars to Amin for investment.
 Amin told these gentlemen that he was Ambassodor to Malta - which he wasn't - and that he had accounts with millions of dollars in them which they could see - which one of them did. 
(Both of these gentleman have ongoing criminal cases in the Emirates against Amin for Fraud).

Amin Forati was employed by Charles Scoville in January 2016 to be Traffic Monsoons Chief Financial Officer.
It's a presumption then, that as CFO, Amin would have had access to the Bank Accounts of Traffic Monsoon. 

In March 2016, Amin took out a $30 million Bank Loan with Axios Credit Bank of Singapore and he acted as Guarantor.
All of this money supposedly went to Swiss Space Systems who in return, signed over a substantial amount of shares in S3 to Amin.
Amin could not have taken out a loan for such a massive amount of money and act as Guarantor, without already having substantial sums of money in his account.
At least $17 million was in Amins personal PayPal account. So where did all this money come from? Did Amin use Traffic Monsoon money just to  prove he had funds available for such a large Bank Loan? 
Charles has always maintained that PayPal had frozen all of Traffic Monsoons money but how can that be? Charles had at least $4 million available - Amin said himself that it had been transferred into  a Payza account. 
And again, it is inconceivable that Charles would put all of his money inside PayPal when he was so vocal about his Chase Bank Account.

In December 2016, S3 was made bankrupt owing $6 million. So what happened to the $30 million that Amin pumped into S3? The Judge asked Pascal  for the Financial records attaining to this, but he has refused, citing confidentiality.

So what happened to all the money? And how much did Charles have to pay Amin to release him from Traffic Monsoon?
Unfortunately, the only person (other than Charles) who can answer these questions has disappeared. 
Lets hope he can be found soon.

The Advert Platform - 'My Advertising Pays' Scam Have Changed Names!

UPDATED 18th Dec 2016

As of today, My Advertising Pays is to be known as The Advert Platform. 
The whole website has changed.

MAP to TAP!

But if they think a name change will get them out of trouble, they've another think coming!

The Securities and Exchange Commission aren't daft. And surprisingly enough, we'll certainly let them know.

The reason for the name change is obvious. MAP/TAP want to enter the Asian market and don't want any of them googling 'My Advertising Pays'  - way too many scam warnings!

But don't you worry Mike, the name may have changed, but the scam certainly hasn't.

We're still right behind you!

Amin Forati - Swiss Space Systems Has Been Declared Bankrupt


Amin Forati, Traffic Monsoons Ex CFO, previously  made a $30 million loan guarantee for Swiss Space Systems (S3) 
Unfortunately, Amin is now in hiding and S3 has just filed for Bankruptcy.  

Pascal Jaussi, Swiss Space Systems CEO is planning to appeal.

My Advertising Pays v VXGateway - The Court Papers


Summary:
'My Advertising Pays has accused VX Gateway of stealing $60 MILLION.
VX outsourced all payment processing to third parties that it refused to disclose.
Mike signed Bank Signature cards and Power of Attorney agreements to allow VX to act on behalf of MAP and/or Mike. This allowed VX to open various Bank accounts to help process MAPS customers. VX refused to provide any copies of any signed documentation.
MAP did not have an independent Corporate Bank Account, it used VX Loop Account to manage all its funds and Customer Data.'

Comment:

SO...Mike doesn't have a separate MAPS Corporate Bank Account? Seriously Mike?
And you just signed over everything..just like that? How did that conversation go down I wonder?

Summary:
The Court papers say that My Advertising Pays maintains it's principle place of business at 
15500 Wilson Road, Ocean Springs, Mississippi.

Comment:
Which means Mike must have moved. This is his new office/ house then. Half a million dollars worth.


 Summary:
MAP operated in both the USA and Europe but was only able to accept payments in dollars. Around December 2015, it noticed it's US customer base was shrinking and decided to pull out of the USA market in Feb 2016 and focus on its European customers.

This meant changing from US Dollars to Euros. Shortly after this happened, VX started to place restrictions on MAP transactions and wouldn't accept payments above $6000.

So which Court case has the truth about the withdrawal of MAPS from the USA?
The Fake case against this blog, or the Fake case against VX Gateway? 





Summary:

February 24th 2016:
Lynne asked Celia why there were restrictions.
Celia said that it was the first processor that VX used, that was causing the permanent restrictions, but that  VX  would use a second processor instead, with higher fees when a customer wanted to process in excess of $6000. This was the first time MAP were aware of any third party processors.At the same time, members were complaining that withdrawals were taking longer  to process and clear. 
February 26th:
Lynne again emailed Celia and asked her why there was a delay processing MAP withdrawals.Celia responded that it wasn't VX fault but a problem with there correspondent Bank( Standard Chartered of New York).
March 16th:
Celia asked Mike for three months worth of Corporate statements to show to a prospective payment Processor.
April 5th:
V2.5 was launched.
April 7th:
Celia says they have found a processor for Mastercard/Euro Transactions, but Visa would follow in a couple of weeks with a different processor.
April 13th
Booth asked Celia why the MAPS vx Loop account showed a Zero balance.
Celia replied this was correct because the funds from their processor hadn't cleared and this would take between three and seven weeks.
April 13th
Booth told Celia he couldn't pay MAPS monthly expenses.

Celia said it was a system restriction that she couldn't control. 

Comment:
So between Feb 2016 and April 2016, when Mike discovered that VX had done the dirty on him and wasn't actually handling MAPS  money, but passing it on to somebody else...who then, for some reason, wasn't processing it,  he just wrote another email? And then another?? 
This is MILLIONS of dollars we're talking about, not jump change. MILLIONS of dollars that Mike claims he has had no access to. And yet, for over TWO months, they just exchange polite emails? 

Summary:
May 6th
VX withdrew $4 million from MAPS VX account.
At a lunch meeting that day, MacKay said this was a mistake and he would repay MAPS in installments of $600,000 every other week.
May 16th
Celia told Booth that payments in dollars had ceased and that she could not transfer any funds in US dollars from MAPS VX loop account.
No more installment payments have ever been made to MAP.
June 8th.

MAP try and find a different processor themselves.

A mistake? 
'Hey Mike, so sorry, withdrew $4 million by accident..these things happen you know. SO many buttons! But hey...don't you worry! I'll repay you half a million every fortnight until we're square, OK?'

My Advertising Pays - Is it Really Suing VX Gateway?

My Advertising Pays have supposedly launched a Lawsuit  against VX Gateway:

They are listing Celia Dunlop and Timothy MacKay as plaintiffs.
Who are they? Nobody knows. Their 'linked-in' profiles used to have cartoon characters as Avatars and have now been deleted. These were the original entries:



The Court documents state that they both live at: 

 1901 Post Oak Boulevard, Apartment 502, Houston, Texas 




Both people living at the same address usually means they're married? Or Co-habiting?  Or maybe lying? Since neither of them show up on the list of possible residents for this address:

But interestingly, they show up on this one, as both present AND past.

Things are happening really quickly at the moment and lots of legal documents are appearing that we're still reading.
However, one particular piece of news has come through today that effectively ends this farce of a lawsuit.

VX Gateway have responded by saying that the Texas Court has no jurisdiction over a Panama company, and neither Celia or Timothy live in the States anyway - tell us something we don't know!

This Lawsuit was launched on December 1st.
The new Version 2.5 was launched on December 2nd. That was NO coincidence.

My Advertising Pays - Another Fake Lawsuit?

It looks like My Advertising Pays have launched a Lawsuit in a Texas Court against VX Gateway - MAPS  'Official Payment Processor of Choice' who have no other customers except My Advertising Pays.

Law360, Houston (December 1, 2016, 8:16 PM EST) -- MyAdvertising Pays Limited, a marketing company that pays people to watch advertisements, filed a lawsuit in Texas federal court Thursday alleging its payment processor, VX Gateway Corp., was actually outsourcing that job to third parties and stole about $60 million in funds.

MAP told the court that VX Gateway, which was hired to provide an online payment portal for MAP members and manage payments for those members, had breached their contract by fraudulently retaining the funds that belong to its customers in the U.S. and abroad.

In August, MAP informed VX Gateway via email that it was improperly withholding funds. After VX Gateway responded that it was the third-party processor that wasn't releasing them, MAP sent a demand letter for the funds, which prompted a phone call between the parties during which VX Gateway said it was pursuing a lawsuit against one of the allegedly at-fault processors, GPN Data.

“VX Gateway further advised MAP to 'join forces' with VX Gateway in their purported lawsuit against GPN Data in Poland,” the complaint reads. “In order to facilitate this joining of forces, as a condition precedent, VX Gateway insisted that MAP execute a full release of liability for any claims MAP may have against VX Gateway, as well as [executives Timothy] MacKay and [Celia] Dunlop personally, ostensibly because MacKay and Dunlop were concerned about being charged with international money laundering. To date, VX Gateway has neither provided, nor has MAP discovered, any evidence that VX Gateway has initiated ... litigation against GPN Data in Poland.”

MAP is seeking damages of $42.4 million and €16 million ($17 million), plus consequential damages.

According to the complaint, the companies entered an agreement in April 2014 whereby VX Gateway would provide payment processing services for MAP customers through an online portal. It was MAP's understanding at that time that VX Gateway was handling all processing responsibilities, it told the court, and that those tasks were not being handled by a third party.

MAP runs a website that allows individuals to purchase “credit packs” that allow them to view advertisements, and then those individual members are paid based on how many ads they watch. The packs are purchased through the portal via credit card or wire transfer payments. When a certain amount has accumulated in the member account, the member can withdraw the funds, according to the complaint.

After the withdrawal is approved, VX would transfer the funds from MAP's account to the individual member's account.

In April 2016, MAP withdrew from the U.S. market, stopped accepting payments in dollars and began only accepting payments in euros, maintaining VX Gateway as its processor. It was a move MAP told the court it had been considering since December 2015 as a result of declining profits in the U.S. market.

Ahead of that move, though, in February 2016, MAP announced the plan and shortly thereafter VX Gateway placed an annual limit on credit card transactions per member of $6,000, a restriction that didn't previously exist, MAP told the court.

When questioned, VX Gateway blamed its third-party processors for the restriction, which was the first MAP had heard VX Gateway wasn't actually processing MAP's transactions, according to the complaint. Around that time, members began complaining to MAP about the time it took to process transactions and withdraw funds.

VX Gateway explained that the delay was not its fault but that of the “correspondent bank,” and that it was in the process of partnering with other banks to process the payments more quickly.

Another issue arose, MAP told the court, when it began accepting only euro payments. It noticed that, after a week, its account with VX still showed a zero balance. That was explained by VX Gateway as the fault of the third-party processor, explaining the funds hadn't cleared yet and that there was also a 10 percent “rolling reserve holdback” from the third-party processor, “as well as an unexplained 90 percent holdback initiated at the whim of the various processors, with one purportedly holding back funds for around three weeks and the other holding back funds for around seven weeks.”

In June 2016, MAP started shopping around for a new payment processor, and it was after a meeting with another company that MAP was informed that VX Gateway was only a gateway services company and was unauthorized to process payments, according to the complaint.

Counsel information for VX Gateway wasn't available Thursday, and the parties did not immediately return calls seeking comment.

So they're alleging that VX Gateway Corp outsourced to another Payment Processor who then run off with the funds?  
So, how did that work exactly> Why would a Payment Processor use ANOTHER Payment Processor to process it's own transactions? 
And aren't GP Data the NEW payment processors in the NEXT version 2.5? Confused.
This is nonsense from start to finish.

Added to which, VX Gateway isn't registered in America, so Jurisdiction alone will knock this fake lawsuit on it's head. 
I haven't seen the Court Documents yet, so whether or not Mike will use his real address this time around instead of the fake one he used for me is yet to be seen.
